WINIT365 Group plc (“WINIT365”) – 2024 Open Offer
At the beginning of 2023, WINIT365 conducted a test launch of its Mahjong Game which indicated that the game played well, was popular with players and on a limited sample size of 23 sites (out of those we will ultimately target of 2,500) we generated a notional net revenue of $6,000 per day.
Despite only being available over a small number of platforms for a short period of time, the test provided very encouraging revenue generation data. Due to licence restrictions with the game being hosted on third party platforms, WINIT365 was not able to benefit from the revenues generated from the test launch but the data produced in the test indicated that the game has all the hallmarks of a potential commercial success.
In order to be able to generate revenues from the game, WINIT365 now needs to purchase its own servers and install and commission them for game play. The minimum cost of putting this in place is estimated at around £200,000. To assist the Board in this task we have engaged Robert Hamilton of Elite Advisory Network Limited to lead the bookbuilding to raise the required funds via an Open Offer Subscription. Robert or a member of his team will be contacting you in the near future to discuss the Open Offer.
A successful Open Offer subscription will enable the Company to launch the Mahjong Game and commence revenue generation. Any additional funds raised from the Open Offer over the minimum requirement will provide opportunities to accelerate progress and enhance the opportunities arising from the Mahjong Game.
It is estimated that the servers can be acquired, installed and commissioned within six weeks of raising the required funding. As soon as the game is operational again, the Company will monitor player statistics and income generated. Such data will be vital to demonstrate that the business is suitable for listing on an appropriate exchange and it is expected that sufficient data will have been collected within two months of launch to move to the next stage. As soon as it is clear that the game can be shown to be a commercial success, the Board will commence the process of formally approaching an exchange and starting the listing process.
I know that all our shareholders are keen for the Company to press forward to a stock market listing, but each of these stages must be competed in turn to meet the requirements of the Exchange. The Board remains fully committed to seeking an IPO for WINIT365 and will press ahead with this exciting development as soon as possible once we have completed the process set out above.
