October 2025 Shareholder and Business Update

WINIT365 Group plc (“WINIT365” or the “Company”), the gaming software provider and developer of the world’s first online, multi-player, multi-platform Mahjong game, is pleased to provide shareholders with an operational and strategic update on the Company’s activities over the past six months.

Business Update

Since June 2025, as reported in the Annual Report & Accounts, WINIT365 has successfully taken full control of the technical delivery, development, and hosting of its flagship Mahjong software platform. The Company’s technical partner, The Fedr8tion, brings a strong engineering base and proprietary testing and validation technologies that are being utilised throughout the development cycle. By consolidating ownership of its software and hosting infrastructure, WINIT365 will be able to deliver its product directly to market, improving margins, pricing flexibility, and scalability — a key step toward sustainable commercial success.

Software Development Progress

The Mahjong software is now nearing completion of its first development sprint and will shortly enter a formal testing phase. This initial sprint has focused on modernising backend systems to utilise scalable, cloud-based hosting environments and rebuilding the front-end interface to enhance player experience and gameplay responsiveness. The Fedr8tion’s engineers have restructured the core codebase for long-term scalability and cross-platform compatibility.

The upcoming second development sprint will centre on wallet integrations and player registrations, leveraging the 15,000 gamers already registered on The Fedr8tion’s platform. This will be followed by cash transaction testing and user acceptance trials ahead of full commercial release. Further updates will be provided to shareholders as these milestones are achieved.

US Market Launch

WINIT365 has initiated discussions with SCCG Management, a leading US-based gaming advisory firm with over 30 years of experience and partnerships with many of the world’s largest gaming operators. SCCG is positioned to implement a go-to-market strategy in the United States as soon as WINIT365 delivers its white-label, turnkey software suite.

The Company’s platform offers flexibility to operate using either partner wallets and cash on/off ramps, or The Fedr8tion’s proprietary wallet system, providing complete adaptability to meet jurisdictional and regulatory requirements. Whilst there are onerous restrictions in many US states, SCCG has been requested to assess the legal framework for launch in up to 22 US states with favourable regulations, and to formulate a market entry plan through its extensive network of partners and customers. Following this process, a commercial rollout in the United States and the Far East will be undertaken through SCCG and The Fedr8tion.

The Global Mahjong Opportunity

Mahjong is one of the world’s most popular games, with an estimated 600 million active players globally, predominantly across Asia but with a fast-growing following in Western markets. Despite this vast audience, there has never been a unified, scalable, real-time multiplayer Mahjong platform capable of delivering a seamless gaming experience across devices with integrated social and transactional functionality.

Listing and Financial Position

The Company remains committed to pursuing a public listing in Europe and is in active discussions with regulated brokers. As previously stated, this process will follow once sustained commercial traction has been demonstrated. WINIT365 has also received approaches from groups interested in exploring potential Reverse Takeover (RTO) opportunities. However, management remains focused on delivering the Mahjong software to market and building a strong foundation of operational success before considering any corporate transactions.
